These terms govern your use of the ProofAware website, the managed Cloud service, self-host licence keys, and premium course packs.

These Terms of Service ("Terms") govern your access to and use of the ProofAware website, the managed Cloud service, self-host licence keys, and premium course packs (together, the "Service").
TODO (LEGAL): Add the legally responsible entity, legal form, registered address, and company register / VAT details. This must match the Impressum.
ProofAware is a security awareness training platform. It is offered as an open-core hybrid: a free, self-hostable Community Edition licensed under AGPL-3.0, a managed EU-hosted Cloud subscription, commercial self-host licence keys, and optional premium course packs. The Community Edition is governed by its open-source licence, not by these Terms, except where you also use our paid or hosted offerings.
To use the Cloud service you must create an account and a Workspace. You are responsible for the accuracy of your account information, for maintaining the confidentiality of your credentials, and for all activity that occurs under your account. You must be authorized to act on behalf of the organization you register.
Paid subscriptions and licences are sold through our reseller Paddle.com Market Limited ("Paddle"), who acts as the Merchant of Record. This means Paddle, not ProofAware, is the seller of record for your purchase, issues your invoice, and collects any applicable VAT or sales tax. Your purchase is also subject to Paddle's buyer terms.
TODO (LEGAL): Confirm the correct Paddle entity name and link to Paddle's current buyer terms. Confirm whether ProofAware contracts directly with the customer for the service while Paddle handles payment.
Subscriptions are billed in advance on a recurring basis and renew automatically at the start of each billing period until cancelled. You may cancel at any time; access continues until the end of the current paid period. We may change prices or plan features with reasonable prior notice; changes take effect at your next renewal.
TODO (NUMBERS): Confirm billing intervals (monthly / annual), notice period for price changes, and currencies.
Cancellation and refund rights are described in our Refund Policy, which forms part of these Terms. Statutory withdrawal rights for consumers, where applicable, are not affected.
You agree not to misuse the Service, including by attempting to gain unauthorized access, disrupting the Service, uploading unlawful content, infringing intellectual property, or using the Service to violate applicable law. We may suspend access for material or repeated breaches.
You retain ownership of the data you submit. ProofAware processes personal data as described in the Privacy Policy. Completion records may carry a cryptographic Completion Signature so they can be independently verified; you are responsible for how you share verification links.
TODO (LEGAL): Reference the Data Processing Agreement (DPA) and confirm the data-processing roles between ProofAware and the customer.
The ProofAware name, logo, the Cloud service, and premium course packs are owned by us or our licensors. The Community Edition source code is licensed separately under AGPL-3.0. Nothing in these Terms transfers ownership of our intellectual property to you.
The Service is provided on a commercially reasonable-efforts basis. To the extent permitted by law, the Service is provided "as is" without implied warranties, and our liability is limited.
TODO (LEGAL): Insert the final warranty disclaimer, service-level commitments (if any), and a liability cap that is enforceable under the governing law. Mandatory statutory liability (e.g. for intent, gross negligence, or personal injury) must be preserved.
You may stop using the Service and cancel your subscription at any time. We may suspend or terminate access for breach of these Terms or where required by law. On termination, your right to use the paid Service ends.
We may update these Terms from time to time. Material changes will be communicated through the Service or by email, and the "last updated" date above will be revised.
TODO (LEGAL): Add the governing law, jurisdiction / venue, and any required consumer dispute-resolution notices (e.g. the EU Online Dispute Resolution platform).
